Terms and Conditions – Insperia Solvex Quality & Standardization Consultants L.L.CI.

I. Scope of Application

These Terms and Conditions govern all current and future business relations between Insperia Solvex ("the Company") and its clients, provided these clients are acting in a professional or commercial capacity.Insperia Solvex operates as an independent third-party inspection and quality assurance company, providing neutral, objective services to support compliance, quality, and operational reliability.Conflicting or supplementary terms from the client shall not apply unless expressly confirmed in writing by the Company.

II. Provision of Services

Insperia Solvex provides professional services as a third-party inspection and quality assurance firm. These services (“Services”) aim to help clients mitigate operational and reputational risks, comply with international standards, and ensure consistent product and process quality.Our Services include, but are not limited to:

  • Factory and supplier audits
  • Pre-production inspections
  • In-process/during production inspections
  • Final random (pre-shipment) inspections
  • Container loading supervision and cargo inspections
  • Technical inspections and quality control assessments
  • Expediting and project monitoring
  • Quality assurance consulting and implementation supportAll services are carried out according to written agreements and the specific instructions provided by the client.

III. Reports

1. Nature and Limitation

The report (the “Report”) issued by Insperia Solvex constitutes the sole deliverable under the Services. It reflects only the conditions, observations, and data collected at the time of inspection or evaluation. The Company has no obligation to revise or update a Report after its issuance.

2. Use and Confidentiality

The Report is intended exclusively for the client and its affiliated entities. It may not be published, copied, shared, or used for promotional purposes without the prior written consent of the Company, unless disclosure is required by a governmental or regulatory authority. The Company assumes no responsibility for third-party interpretations.

3. Legal Proceedings

The Report may not be used as evidence in legal or regulatory proceedings without prior written approval. The client must notify the Company if legal use is anticipated.

IV. Representations and Warranties

1. Standard of Care

Insperia Solvex performs all inspections and quality assurance services with due professional care and in accordance with internationally recognized standards.

2. No Guarantee or Insurance

The Company does not act as a guarantor or insurer. Its role is limited to independent inspection and advisory services. Clients are responsible for obtaining their own risk protection (e.g., insurance) where necessary.

3. No Warranty for Client Products

The Reports issued by the Company do not constitute any kind of warranty or certification regarding the merchantability, fitness, or compliance of the client’s products.

V. Payment Terms

Invoices are payable in full within 30 days from the invoice date. The Company reserves the right to:

  • Revoke any previously granted credit terms,
  • Charge interest on overdue payments,
  • Recover legal, administrative, or collection costs incurred in recovering outstanding amounts.

VI. Intellectual Property

All intellectual property, including company names, logos, reports, methods, and other protected materials (“Marks”) used or created by Insperia Solvex, remain the sole property of the Company.

The client may not use or reproduce these Marks without prior written consent and may not challenge their validity or damage their value.

Samples, data, and other materials submitted to the Company grant a limited, non-exclusive right to use them only for service performance purposes.

VII. Data Protection

The Company may collect, process, and store business and personal data for the purposes of executing the contract. All data is handled in accordance with applicable UAE data protection laws and internal confidentiality policies.

VIII. Governing Law and Jurisdiction

These Terms and any related agreements are governed by the laws of the United Arab Emirates.The competent courts in Dubai, UAE shall have exclusive jurisdiction over any disputes arising from or in connection with the contractual relationship.

IX. Severability

If any clause of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in effect. The invalid clause shall be replaced by a valid one that closely reflects the original intent and economic purpose.

X. Entire Agreement and Amendments

These Terms represent the full and final agreement between the client and Insperia Solvex. Any amendments or additions must be made in writing and agreed upon by both parties. No verbal agreements shall be binding.
